The transfer of software licenses is legal in the EU/EFTA trade zone. The legal justification lies in the so-called principle of exhaustion: distribution rights, as per copyright, of a copy of an asset protected by copyright are exhausted once it has been placed into circulation rightfully.
The EU's Supreme Court's decision confirms this legal situation for EU countries (European Court of Justice - judgement issued on July 3rd, 2012; Case C-128/11). This principle applies regardless of the software vendor - it's the legal foundation for our Microsoft and VMware license trading alike.
